Please read our CoDA Literature UK/EU Terms and Conditions (“Terms and Conditions”) carefully. These Terms and Conditions govern your access, use and orders placed at www.codaliterature.co.uk, its mobile sites and any applications (collectively, the “Site”), as well as the provision and sale of products and services by F3CLR LLP and/or its affiliates (including but not limited to CoDA Literature) and/or its fulfilment providers, as the context may require (“CoDA Literature”, “CoDA Literature UK”, “CoDA Literature UK & EU”, “CoDA Lit”, “CoDA”, “we”, “us” or “our” AND “SITE” ). By placing an order with CoDA Literature UK/EU, you agree to be unconditionally bound by these Terms and Conditions in the version valid at the time of ordering.

If you do not accept these terms and conditions, please do not use this website. Your use of this website confirms your acceptance of these terms.

This site is owned by CODA LITERATURE UK and registered in Scotland, trading via F3CLR LLP, at Choice Fulfillment, 10 Thornbury Road PL6 7PP, orders@codaliterature.co.uk. Any purchase of goods from the site www.codaliterature.co.uk requires the customer to consult and accept these terms and conditions. The click validating the order implies full acceptance of these terms and represents the customer's "digital signature".

Purpose

terms and conditions are intended to define the rights and obligations of the parties in the sale of goods proposed online by CODA LITERATURE UK for the customer.

The CoDA Literature project consists of CoDA Literature UK LLP (known henceforth as ‘CODA LITERATURE UK’) acting under exclusive licence in the United Kingdom from CoDependents Anonymous Inc., USA.

 

1. Pricing

CoDA Literature UK is trading online. All prices are displayed in pounds sterling (£) on our website codaliterature.co.uk - We offer no discounts or incentives as a vendor to the membership of CoDependents Anonymous UK.

 

2. Local VAT and Distance Selling Regulations

CODA LITERATURE UK isVAT registered by 31 January 2019, and the books offered online are not VAT applicable/ZERO RATED.

 

3. Selling Territory

CODA LITERATURE UK sells CoDA literature exclusively within the United Kingdom – England, Scotland, Wales and Northern Ireland and Europe/European Union. CODA LITERATURE UK will sell literature via codaliterature.co.uk to private individuals for home use, or member groups for group use ONLY.

CODA LITERATURE UK is the sole / exclusive vendor of CoDA Literature in the areas described in the paragraph above. RESALE, EXCEPT AT MEMBER HOME GROUPS OR CONFERENCES AT COST plus HANDLING, ARE STRICTLY FORBIDDEN.

Business customers, retailers and professional organizations, must order through a bona fide UK book distributor or Nielsen’s, or by contacting us via the web site.

1. Applicability
1.1. By accessing or using this Site and its related software tools, applications or any other CoDA Literature service, you agree to be bound by the terms of our Privacy and Cookie Policy, the Product-Specific Terms and the following General Terms and Conditions (collectively, the “CoDA Literature Terms”) and to any additional terms (such as but not limited to those listed above), policies, guidelines, restrictions or rules that may be posted in connection with specific sections or services of this Site (collectively, the “Additional Terms”). All such Additional Terms are hereby incorporated by reference into the agreement entered into by CoDA Literature and you, the customer, at the time you access or use the corresponding section, service or feature, or have otherwise agreed to their applicability. These CoDA Literature Terms and any Additional Terms that you have agreed to, make up the entire agreement between us in relation to its subject matter and supersedes all prior agreements, representations and understandings.

1.2. If you use this Site on behalf of any business, organization or other entity of any kind, you represent and warrant that you are authorized to accept these CoDA Literature Terms on its behalf and to bind such business, organization or entity to these CoDA Literature Terms.

1.3. Every offer of a CoDA Literature product and/or service on our Site as well as every transaction, order and agreement that is concluded through our Site is governed by our CoDA Literature Terms.

1.4. The applicability of any terms and conditions of the customer or any third-party on behalf of the customer is expressly dismissed and shall not apply, even if CoDA Literature has not specifically rejected them.

1.5. These CoDA Literature Terms and Additional Terms are not applicable to orders of a product or a service which are not from CoDA Literature directly but from a third party. This can be any of CoDA Literature´s affiliates in the Cimpress plc group of companies, a reseller or a service provider we have partnered with. In such cases, the terms you have separately agreed upon with this third party, will apply.

1.6. CoDA Literature reserves the right to make changes to this Site and to these CoDA Literature Terms at any time without prior notice. You should review these CoDA Literature Terms each time you access this Site.

2. Your Account
2.1. Before you can place an order online or use certain services or features offered on this Site, you will need a registered CoDA Lit account. In additiont we do allow ‘guest’ accounts, however these and any associated orders placed via a guest account are equally governed under these Terms and Conditions.

2.2. The customer will at all times be responsible for each and every use of its CoDA Lit account. You agree to protect your log-in credentials such as your password and control any access to your CoDA Lit account, especially when you have granted another person in your business or household access rights to your account or otherwise permit them to use your account with the purpose to place an order on your behalf. You agree that you will be responsible for all orders placed or other actions that are taken through your CoDA Lit account.

2.3 You agree to use this Site in a responsible manner that is in full compliance with these CoDA Literature Terms and with your local laws and regulations, including export and import regulations. The customer represents and warrants that at all times it has complied and shall comply with all applicable restrictions arising out of any and all relevant sanctions and export and trade controls legislation, regulations or orders of the United Nations, the European Union and its Member States, Norway, Switzerland, the United Kingdom, the United States of America, and any other country whose laws, regulations or orders apply to the parties involved or activities covered or contemplated by these CoDA Literature Terms (collectively, the “Trade Laws”) and that it shall also refrain from performing any activity or omitting to perform an activity that will expose F3CLR LLP or any of its subsidiaries, affiliates and other companies controlled by the same person or entity as F3CLR LLP (including, without limitation, the legal entity or entities specifically identified in these CoDA Literature Terms) to breaching Trade Laws or any enforcement action or restrictive measures under the same.

2.4 You must be 18 years or older to use CoDAliterature.co.uk. Minors under 18 and at least 13 years of age are only permitted to use our Services through an account owned by a parent or legal guardian with their appropriate permission and under their direct supervision.

3. Terms of Sale
All our offers and promotions are without any obligation and subject to availability and confirmation of the order. CoDA Literature reserves the right to reject any order without the obligation to assign any reason. An agreement between you and CoDA Literature is subject to our acceptance of the order and will be formed when you receive the order confirmation by email.

4. Materials for Limited Use
4.1. This Site contains graphics, photographs, images, document layouts, templates, artwork, text, graphics, illustrations, logos, photos, audio, video, music, fonts, blog posts, software tools, trademarks, service marks, media content belonging to other users through embedded feed from social media platforms, stock images and footage from stock providers and other information (“Content”). This Site and all its Content are the intellectual property of CoDA Literature or the intellectual property of parties from whom CoDA Literature has licensed such property. All rights in this Site and its Content are reserved worldwide.

4.2. It is strictly prohibited to sell, license, rent, modify, retain, copy, reproduce, distribute, publish or use any portion of the Content except as expressly allowed in these CoDA Literature Terms.

4.3. CoDA Literature reserves the right to add to, delete from, or modify any part of its Content at any time without prior notice. Any modifications to our Content, whether by you or CoDA Literature remain the property of CoDA Literature and its licensors.

4.4 All materials, including but not limited to Books, Bookelts, Pamplets, handouts, flier and signs are COPYRIGHTED material of CoDA Inc. PO Box 33577, Phoenix, AZ 85067-3577. These materials must not be photocopied, scanned, reprinted or other wise distriubutes via printed method or electronic systems whatsoever.

4.5 For the avoidance of doubt, no content, materials sold or portion thereof may be used on its own as a trademark or service mark.

4.6 Indemnification:

You agree that you shall indemnify CoDA Literature and all parties from whom CoDA Literature has licensed portions of Content, and their directors, officers, and employees, against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses arising out of or related to (i) your breach of these CoDA Literature Terms; (ii) any suit, claim or demand arising from or relating to any text, photograph, image, graphic or other material that was not part of the standard Site Content and that you uploaded or otherwise provided to CoDA Literature or incorporated into a Product; (iii) any suit, claim or demand arising from or related to any third-party products and/or services we offer on our Site whether or not used for or in connection with a Product you have ordered on our Site. As to clause (ii), you agree that we have the right to control the defense of any such suit, claim or demand.

4.7 Site Feedback:

Any comments, suggestions, proposals or other feedback (collectively “Feedback Information”) provided to CoDA Literature in connection with the operation of this Site including its content or any of our offered and/or supplied Products, shall be provided by the submitter and received by CoDA Literature on a non-confidential basis. All such comments, suggestions, and other information shall become the exclusive property of CoDA Literature. By submitting any such information to CoDA Literature, you agree that you are transferring and assigning, at no charge, all of your right, title and interest in the information, including all copyrights and other intellectual property rights. You agree that CoDA Literature shall be free to use such information on an unrestricted basis.

5. Contract

When you place an order to purchase a product from CODA LITERATURE UK Online, we will send you an e-mail confirming receipt of your order and containing the details of your order. Your order represents an offer to us to purchase a product which is accepted by us when we send e-mail confirmation to you that we've despatched that product to you. That acceptance will be complete at that time. Any products on the same order which we have not confirmed in a Despatch Confirmation E-mail to have been despatched do not form part of that contract.

5.1 LIMITATION OF LIABILITY:

IN NO EVENT SHALL CODA LITERATURE OR ITS LICENSORS, SUPPLIERS, OR VENDORS, OR THE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS OF ANY OF THEM, BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR FOR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA, OR PROFITS, WHETHER OR NOT CODA LITERATURE HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SITE OR PRODUCTS OR SERVICES SOLD THEREON, OR OF FAILURE TO PROVIDE PRODUCTS OR SERVICES THAT YOU ORDERED FROM CODA LITERATURE, OR ANY PRODUCTS OR SERVICES YOU ORDERED THROUGH CODA LITERATURE´S SITE DIRECTLY FROM ITS AFFILIATES OR ANY OTHER THIRD PARTY, INCLUDING WITHOUT LIMITATION, DAMAGES ARISING FROM MISTAKE, OMISSION, VIRUS, DELAY, OR INTERRUPTION OF SERVICE. IN NO EVENT SHALL CODA LITERATURE BE LIABLE OR RESPONSIBLE FOR ANY DAMAGES OR CONSEQUENCES ARISING FROM OR RELATED TO YOUR INAPPROPRIATE OR UNAUTHORIZED USE OF THIS SITE OR ITS CONTENT, OUR SUPPLIED PRODUCTS OR SERVICES, INCLUDING ANY THIRD-PARTY PRODUCTS OR SERVICES. IF YOU LIVE IN A COUNTRY OR STATE THAT DOES NOT ALLOW ANY OF THE FOREGOING EXCLUSIONS OR LIMITATIONS OF LIABILITY OR ANY OF THE DISCLAIMERS OF WARRANTIES IN THE ABOVE SECTION, SUCH EXCLUSIONS OR LIMITATIONS WILL NOT APPLY TO YOU BUT ONLY TO THE EXTENT SUCH EXCLUSIONS OR LIMITATIONS ARE NOT ALLOWED. IN SUCH CASE, SUCH EXCLUSIONS OR LIMITATIONS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

5.2 Governing Law, Jurisdiction and Dispute Resolution

The party you are contracting with and the seller of the products and services offered and sold on this Site is F3CLR LLP under the trading name CoDA Literature, with limited liability incorporated under the laws of the United Kingdom.

5.2.1 All issues related to the protection, infringement, or misuse of copyrighted materials shall be governed by the copyright laws of the United States of America. All other matters relating to your access to or use of this Site shall be governed by the laws of the United Kingdom. You agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to any sale under these CoDA Literature Terms.

5.2.2 Any legal action or proceeding relating to or arising from your access to or use of this Site shall be instituted in Glasgow, Scotland, United Kingdom. You agree to submit to the jurisdiction of the courts sitting in Glasgow, Scotland, United Kingdom and agree that venue in these courts is proper in any such legal action or proceeding. You also agree to not assert, in any legal action or proceeding involving CoDA Literature, that a court sitting in Glasgow, Scotland, United Kingdom is an inconvenient forum for such legal action or proceeding.

5.2.3 Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties. When permitted by law CoDA Literature, and CoDA Literature's suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.

5.2.4 We recognise that in some countries, you might have legal rights as a consumer. If you are using the Site´s services or order a Product for a personal purpose, then nothing in these terms or any additional terms limits any consumer legal rights which may not be waived by contract.

6. Privacy

CODA LITERATURE UK recognises the concern of our customers regarding privacy of information. All information you give to CODA LITERATURE UK is stored securely, and is not accessible to other users. Rest assured that any information you give to CODA LITERATURE UK will not be distributed to any other company outside of the CODA LITERATURE UK or its affiliated partners, unless you give us your express consent.

We are committed to protecting your privacy. We will only use the information that we collect about you lawfully (in accordance with GDPR 2018; Registration reference: ZA479303; and Registration reference: ZB764038).

We collect information about you for two reasons: firstly, to process your order and secondly, to provide you with the best possible service.

Credit/debit card details are never collected directly on our site and only processed via third-party, industry reliable banking payment gateway partners. We will not collect sensitive information about you without your explicit consent.

We will endeavour to ensure the information we hold will be accurate and up to date. You can check the information that we hold about you by emailing us. If you find any inaccuracies we will delete or correct it promptly.

The personal information which we hold will be held securely in accordance with our internal security policy and the law. If we intend to transfer your information outside the UK or EEA (European Economic Area) we will always obtain your consent first, except for payment processing through the secure channels of our banking partners.

We may use technology to track the patterns of behaviour of visitors to our site. This can include using a "cookie" which would be stored on your browser. You can usually modify your browser to prevent this happening. The information collected in this way can be used to identify you unless you modify your browser settings.

We do not knowingly collect for company use any personal information of children under 18 without the consent of their parent or carer.

 

6. Security

CODA LITERATURE UK uses EKM and Banking partners like Stripe and Clearaccept who employ industry standard encryption to ensure the highest security for credit card and personal details submitted over the Internet. Recent surveys have shown that there is less fraud on the Internet than in real life situations (such as using your credit card in a department store or at a restaurant), and we're confident that we are offering the secure service you can expect from CODA LITERATURE UK.

CONFIDENTIALITY: CODA LITERATURE UK is registered with Data Protection and maintains high standards to protect any information necessary to complete orders. No transactions of any kind currently occur on this site, it is either through the contracted payment gateway or your bank, therefore we have no financial information to store.

Care is taken in packaging orders in plain, umarked packaging, and every effort is made to protect anonymity and have no markings that reveal the subject matter of the contents.

However, we CANNOT GUARANTEE that no marking will ever be discernable, or that in certain situations dealing with wrapping, or where a carrier inadvaertently drops or were to open a box, or a shipping label for delivery reference - actions completely outwith our control - that the contents may inadvertently be revealed.

 

7. Orders & Payments

As this is a service facilitation of a literature programme for a dedicated membership entity, special shipping tiers are arranged to optimise the effectiveness of shipping vendors and related fees for shipping services, as well as insurances.

All contractual information will be confirmed by email to the address specified by the customer during the purchasing act. Purchase orders and invoices are stored on a reliable and durable system and can be produced as evidence. We process personal information to enable us to produce and distribute printed material, promote our services; maintain our accounts and records. We also process personal information in the course of selling online products, but only through trustworthy vendors such as Stripe, Clearaccept and Choice Fulfilment.

7.1. £6.00 MINIMUM ORDER LEVEL — Coda Literature operates a minimum order level at £6.00 (Six Great Britain Pounds).

7.2 NO BANK TRANSFERS/Cheques/Cash — CoDA Literature, except in rare, exceptional cases does not accept BACS bank transfers, Cheques or cash. All orders must be submitted and processed via the web site, with terms accepted.

7.3 Payment — This is a facilitative/utilitarian service, we’ve endeavoured to offer the most reasonable rates and options for CoDA members, and book prices at the cheapest level possible while ensuring good quality, however this comes with certain limitations. CoDA Literature DOES NOT collect, handle, store or ask for ANY credit card, financial or banking information. These transactions are handled by either the member themselves or the card processor.

7.3.1 Payment Gateway Processors —The processors for CoDA Literature UK & EU are Stripe and Clear Accept which are solely responsibility for the collection of information and processing of transactions, data protection, GDPR and any related calculations/processing related to the order. By using this service, you, the customer accepts all responsibility for the transactions between the payment processors. CoDA Literature UK & EU does not store customer’s banking or financial/credit/debit card information. 

In the unlikely event of a data or GDPR breach with/at/involving Stripe or Clear Accept payments — and any of their associates or subsidiaries —, you, the customer indemnify and hold harmless CoDA Literature, CoDA Inc., Choice Fulfilment and F3CLR LLP against any fault, claim or responsibility to do with these systems whatsoever. 

By accepting these Terms and Conditions you acknowledge that any data storage or processing on the part of Stripe or Clear Accept are completely outwoith the knowledge or control of CoDA Literature UK, CoDA Inc., Dimensions Mail and F3CLR LLP and that none of these entities, its associates, vendors or workers have any ability to control financial data provided to Stripe or Clear Accept. 

 

7.3.2. VAT - European Union

As an unfortunate result of Brexit, we are no longer operating in a free trade area. Therefore, each EU member company charges its own rates of VAT for book orders coming from the UK.  As a result, VAT WILL BE CHARGEABLE AT POINT OF ENTRY. This means that any courier or post service used will assess VAT with customs in your home country, and contact you directly for payment.

We are sorry this has occurred, but the situation is completely outwith our control. CoDA Literature cannot accept VAT registrations of any kind in waiver of VAT.

8. SHIPPING & DELIVERY

CoDAliterature.co.uk will post, or arrange a courier on your behalf, for the goods ordered by you to the person and address you give at the time you make your order. For goods delivered outside of the UK, the consignee (ie the person to whom the consignment is sent) will be the declarant and importer into the country for which the consignment is destined. The consignee will be responsible for both customs clearance and payment of customs duties and local taxes where required.

All delivery times quoted on the website are estimates only, based on availability, normal processing and delivery companies — see specific additional terms in this section.

You will become the owner of the goods you have ordered when the goods are dispatched to you from our distribution centre.

 

8.1. Shipping costs

All shipping costs are based on, best-case services, based upon weight and destination. This is not always precise. Sometimes the actual shipping can vary slightly from the flat rate amount. CoDA Literature's primary aim is not to benefit from shipping, except in the reasonable application of proper handling costs to pick, pack, label and despatch the packages.

If a price is quoted at checkout, and the actual shipping costs are less than the price quoted, you agree that except in the instance of a gross discrepancy of more than £5.00, or miscalculation in weight, no refunds or adjustments shall be made to you, the customer whatsoever. Determination of shipping queries is at the sole discretion of CoDA Literature UK.

If a claim is made for refund of the product, shipping costs are NOT refundable, and items must be returned at the expense of the customer.

8.2 Order Processing time UK

Order processing is defined as the time an order is completed by the customer and is activated as ready for processing within our system. At that time, an email to this effect is sent to the person placing the order. Even with current challenges, and shifting to a general Tuesday/Thursday process for small UK orders, we still aim for a processing goal within 72 hours. However, in order to allow for the current challenges, and keep processing costs low, the general order processing time goal will be five (5) business days from the time the order is activated. This is a goal and can fluctuate.

Order processing time does not mean delivery time. The delivery window begins once the order is collected by Royal Mail or other courier.

8.3 Order Processing - EU/Europe

The process for EU/Europe orders is as follows:

Step 1 — Order is placed, and the books (not including shipping) are paid for in full.

Step 2 — Order is activated in the system manually, and an email is sent, giving the various options and costs for shipping.

Step 3 - Person placing the order must reply to the email and indicate which shipping option is preferred.

Step 4 — A manual invoice is generated and emailed to the person placing the order with a payment link to our secure payment processor for payment.

Step 5 — Once payment is received, the order is updated and activated for final processing.

Step 6 — Once collected by the courier, tracking information is sent to the person placing the order.

8.4 EU Processing Time Policy:

If all emails and payments are replied to in a timely manner within one business day, the order processing time for EU/Europe orders is seven (7) business days from activation (see above).

8.5. Shipping logistics & Terms and Conditions

EVERY ATTEMPT WILL BE MADE TO GET THE ORDER TO THE PURCHASER AS SOON AS POSSIBLE, HOWEVER, THE CURRENT DELIVERY PROMISE GOAL WINDOW IS 14 BUSINESS DAYS FROM ACTIVATION (“activation” as defined in section 8.2) THE GENERATION OF "ORDER IN PROCESS" CONFIRMATION.

NO DISCOUNTS OR COMPENSATION WILL BE OFFERED FOR DELAYED DELIVERIES, EXCEPT IN THE EVENT OF A BONA FIDE CLAIM FOR LOSS OR DAMAGES, AND ONLY AFTER BEING TRACED, AND CLAIMED ON THE INSURANCE OF THE CARRIER.

MISSED, UNCOLLECTED AND RETURNED DELIVERIES WILL INCUR A REDELIVERY FEE AND A RESTOCKING FEE OF £5.00.

CODA LITERATURE UK cannot be responsible for acts on behalf of any carrier outwith our control. YOU MUST PROVIDE A VALID SHIPPING ADDRESS and CONTACT INFORMATION/TELEPHONE to ensure reliable service, and for large orders SOMEONE MUST BE PRESENT ON THE DELIVERY DAY BETWEEN 9AM and 5PM, otherwise the carrier will issue a ‘while you were out’ notice or similar, and it will be the sole responsibility of the recipient or his/her/their agent to coordinate redelivery or collection with the carrier.

While Royal Mail 1st Class and other couriers offer next-day, “48 hour” and other general services, WE DO NOT PROVIDE GUARANTEED delivery, and CoDA Literature shall not be in any way liable for the timing of delivery once despatched and handed to the delivery/courier service.

CoDA Literature UK is NOT responsible for any charges for redelivery, or any expenses as a result of missed deliveries, or damage caused by deliveries left with third parties or any other acts of the delivery agent outwith our control.

WE ARE NOT RESPONSIBLE FOR MALFORMED, INCOMPLETE, OR ERRORS IN SHIPPING ADDRESSES PROVIDED BY THE CUSTOMER. CORRECTIONS, RE_SHIPMENTS OF INCORRECTLY ADDRESSED ORDERS SHALL BE AT THE COST OF THE CUSTOMER.

SOMEONE MUST BE PRESENT to accept courier deliveries. We have a 99.5% success rate. We are not responsible for "special arrangements" with couriers (e.g. leave on porch). Two delivery attempts are made per order. However, in the event a delivery cannot be made, you agree that:

A £20.00 return fee applies, charged by the courier (not us)

A second delivery fee will apply to re-ship the order.

8.6 LOST / MISSING ORDERS

In the event of a lost package, CODA LITERATURE UK will not refund or replace the purchase WITHOUT CLEAR TRACKING INFORMATION fromm Royal Mail or the Courier, Stating the delivery attempts and delivery history. If a red card is left, IT IS THE RESPONSIBILITY OF THE PURCHASER TO ENQUIRE AT THEI LOCAL DEPOT as quickly as possible. If a red acrd is not left, the same responsibility applies when informed to do so by CODA LITERATURE UK. ONLY when there is a clear, tracked indication that the parcel is being returned shall a refund or replacement be arranged. In any case, postage cost for missed deliveries IS NOT REFUNDABLE. 

8.7 MISSING ORDER ITEMS

CoDA Literature shall have no liability to you unless you notify us of a problem with quantites, in writing using our email: orders@codaliterature.co.uk. ALL CLAIMS for missing order items must be made within 3 days of documented receipt, with photographic evidence of actual materials received — in order to file a claim. Claims past this window, or without photographic/other evidence will be considered at the sole discretion of CoDA Literature, and may be politely refused.

All orders are verified by the weight cross-checks at despatch and with the courier.

8.8 POLICY ON 'SAFE PLACE' and/or Third Party Designation for Deliveries

We recognise that Royal Mail, DPD and others allow the customer to designate a "SAFE PLACE" for their deliveries. Please note, that designating a "SAFE SPACE" with any companies requires the customer to WAIVE THIER RIGHT TO ANY CLAIMS. While we understand this may be more convenient, under no circumstances can CoDA Literature be responsible for these "SAFE PLACE" deliveries and will not refund, replace or file any claims for these. Designating a "SAFE PLACE" with a courier/Royal Mail IS AT THE SOLE RISK OF THE CUSTOMER.

9. Refunds and Returns

ALL SALES FINAL: All sales are complete and final, and all claims and returns/adjustments closed after the statutory 14-day 'cooling off' period.  

9.1 Order Corrections:

Corrections for orders that are miscounted, or with incorrect quantities or packing discrepancies will be corrected upon receipt of a query within 3 days of receipt as outlined in section 8.7. Queries received after 5 days of receipt will be adjusted at the discretion of CoDA Literature.

9.2 Cancellations within 14 days

Should you change your mind about your order, CODA LITERATURE UK operates within the legal UK 14-day ‘Cooling Off’ period, 14 working days of the confirmation of your order. You acknowledge we've informed you have the right to cancel within 14 days of receipt. This policy is in accordance with the UK Distance Selling Regulations. A full refund will be given for the order, (NOT including original postage costs), providing they are in their original, sellable condition. Any postage costs incurred when returning your items will also be at the cost of the customer.

9.3 Returns for faulty or defective goods within 30 days of receipt:

Products are delivered to the address specified by the customer on the purchase order and only to geographic zones that we service. All products leave our premises in perfect condition. The customer must notify the carrier (or postman) of even the slightest trace of damage (holes, signs of crushing, etc.) to the parcel, and refuse the package if necessary. NO EXCHANGES CAN BE MADE AT A LATER TIME FOR GOODS CLAIMING TO BE DAMAGED DURING CARRIAGE WITHOUT NOTIFICATION AT THE TIME OF RECEIPT.

Return claims/requests for faulty or defective goods must be made in writing to orders@codaliterature.co.uk WITHIN THREE DAYS OF DOCUMENTED RECEIPT — with photographic evidence of any damages/faults. Defective or faulty goods shall be refunded, repaired, or replaced within 30 days of purchase and receipt, as legally required, at the discretion of CoDA Literature UK - with the exception afforded under the law that the goods/items were CLEARLY MARKED as an incomplete or ‘as-is’ or damaged item at the item listing, before the point of sale.

Returns for faulty or defective goods after 30 days of receipt: After 30 days of purchase, defective or faulty goods shall be repaired, replaced or compensated at the sole discretion of CoDA Literature UK.

9.3.1 Minor quality issues — Customer agrees that the materials/books/paper goods sold by CoDA Literature as a licensor of CoDA Inc. as a membership organisation are not presented or otherwise implied or inferred to be “premium” or “luxury” goods, and are manufactured as utilitarian/workbooks/study materials for active use by the member/customer. Therefore, minor imperfections such as page ruffling, cover blemishes or corner denting as a result of courier/Royal Mail handling (eg. Pushing the order through a small letterbox) will be adjusted or discounted at the discretion of Codaliterature.co.uk, and the customer agrees that these minor blemishes do not qualify as ‘faulty’.

Goods clearly marked 'as-is', including misprints, issued with erratas, minor printing defects, old versions/editions, or the like are sold in the condition stated, with acknowledgement and acceptance of the purchaser.

Any defects/condition of goods are stated clearly before purchase, and absolutely NO REFUNDS or ADJUSTMENTS shall be made for goods purchase with the stated knowledge that it is an aged product, misprinted, faulty or otherwise varies from a standard product.

In all cases, orders to be considered for refund must be returned in their original packaging, and shipped in the most cost-effective method to: CODA, Choice Fulfillment, Airport Business Centre,10 Thornbury Road, Estover, Plymouth PL6 7PP

We recommend Royal Mail TRACKED delivery confirmation and insurance up to the purchase cost. We cannot be responsible for lost return orders in the post, and proof of posting slips are not acceptable for return orders. If books are damaged IN RETURN TRANSIT, an insurance claim will be made and settled with the carrier by the customer before any refund is made.

All returns are accepted at the discretion of CODA LITERATURE UK, and refunds will be given in the same tender type as the original payment ONLY. Please allow 30 days (in addition to the delivery time) for the return to be processed. 

9.3.2. Non Delivery

In the event that a despatched item is delayed or assumed lost in transit we cannot offer to replace or refund until: 14 business days after dispatch, AND the loss has been verified by the courier, or both. CODA LITERATURE UK shall have no liability to you unless you notify us of non-delivery within a total of 7 days of the date on which the goods were despatched to you.

SOMEONE MUST BE PRESENT to accept deliveries. Two delivery attempts are made per order. However, in the event a delivery cannot be made:

1. A £20.00 return fee applies, charged by the courier

2. A second delivery fee will apply to re-ship the order.

 

11. General Use of Site

CODA LITERATURE UK reserves the right to refuse service, terminate accounts, and/or cancel transactions in its discretion, if CODA LITERATURE UK believes that customer conduct is in violation or breach of any applicable law or CODA LITERATURE UK terms and conditions, or is harmful to the interests of CODA LITERATURE UK. This does not affect your statutory rights as a consumer. Contracts are established at time of despatch.

CODA LITERATURE UK or its suppliers shall not be held liable for the consequences, accidents, or special damages arising from electronic transmissions or the accuracy of transmitted information, even in cases where CODA LITERATURE UK was aware of the possibility of such damages. Manufacturer and brand names are only used for identification purposes. Product photos, descriptions and prices are non-contractual.

11.6 Validity Period of Offer and Prices

Our offers and prices are valid for the day the site is consulted and are subject to change without notice.

11.7 Right to Withdrawal

In accordance with the Distance Selling Regulations 2000, the customer has the right to a cooling off period of fourteen (14) business days, starting at the time goods are received, to cancel the contract and return said goods at their own expense, without having to give a reason. All goods must be returned to the CODA LITERATURE UK ADDRESS.

The cooling off period and right to cancel do not apply to contracts, orders for any goods made to your specification, any downloaded goods, marked goods or unsealed goods including but not limited to (books, pamphlets, DVD, CD, Tapes, Software, Video and audio).

Only complete and unused goods in perfect condition for resale will be accepted. No refunds or exchanges will be made for incomplete, damaged or unsealed goods, including damage to original packaging. The customer can exercise this right to withdrawal without penalty, excepting the return fee for the goods. If the customer exercises the right to withdrawal, they have the option of requesting a full refund or exchange of goods. If an exchange is requested, all shipping expenses shall be the responsibility of the customer.

If the right to withdrawal is exercised, CODA LITERATURE UK will make every effort to refund the customer within 30 days.

11.8 Right of Use

The use of any trademarks, logos or brands present on the site is strictly forbidden.

11.9 Force Majeure

Neither party will be deemed to be in breach of any of its obligations under the agreement as a result of any delay in performing or any failure to perform any such obligations by reason of any cause or event beyond the parties' control. A force majeure event includes, but is not limited to, any unforeseeable, inevitable, or unstoppable act, event, non-happening, omission or accident beyond the control of either party, despite all reasonable efforts made to the contrary. In addition to events usually recognized by the British courts, a force majeure event includes in particular (without limitation) the following: Strike, lock-out, earthquake, fire, storm, flood, lightning, explosion, impossibility of the use of public or private telecommunications networks.

In such circumstances, the party delayed or unable to perform ("Delayed Party") shall notify the other party ("Affected Party") within ten (10) business days following the date such events become known.

Unless prevented due to force majeure, both parties will meet within three months to examine the impact of the event and agree to the conditions under which the contract shall be continued. If the force majeure lasts longer than one (1) month, this agreement may be terminated by the injured party.

11.10 Partial Invalidity

These terms and conditions remain valid and in force, even if one or more clauses are invalid or declared so under any law, regulation or following the final decision of a competent court.

11.11 Non-Waiver

No failure of either party to exercise any power given to it in these terms and conditions or to insist upon strict compliance by the other party with its obligations hereunder shall constitute a waiver of either party's right to demand exact compliance with the terms hereof.

11.12 Data Protection

Coda Literature UK is fully registered with ICO and follows the guidelines from the new Data Protection Act 2018 (DPA 2018). The main provisions of this apply, like the GDPR, from 25 May 2018.

We process personal information to enable us to produce and distribute printed material, promote our services; maintain our accounts and records. We also process personal information in the course of selling online products, but only through trustworthy vendors such as Paypal.

All personal data you provide us is used for the sole purpose of processing your order(s). Coda Literature does not send direct mail, solicitations or marketing information. The only exception is if specifically requested/accepted at checkout by a member/home group for the purposes of service to their group or as an individual. We sometimes need to share the personal information we process with the individual themself and also minimally other organisations, namely our warehouse facility for packing & shipping/order processing, and the Royal Mail or private courier for delivery. We do not share information otherwise, not even with the fellowship of CoDepnedents Anonymous

We process basic customer contact information for the sole purpose of fulfilling online orders initiated by the customer. This includes name, contact phone, address and email address.

12. ACCEPTANCE OF THESE TERMS AND CONDITIONS

By engaging on the site, creating and/or placing an order, and further agreeing with the TERMS AND CONDITIONS at checkout via the provided checkboxes, the customer grants permission for their information to be used as outlines in these Terms and Conditions and agrees to them for all aspects of the transaction described herein. If at any point the customer wishes to be ‘forgotten’ we will comply under the GDPR 2018 within 10 business days, upon receipt of such request.

12.1. Applicable Law and Competent Jurisdiction

In form and content, these Terms and Conditions shall be governed by and construed in accordance with Scottish law. All orders placed on CODA LITERATURE UK SITE strictly imply the acceptance of CODA LITERATURE UK's Terms and Conditions.

In case of dispute or claim, the customer agrees to seek an amicable solution with CODA LITERATURE UK before proceeding with any credit account ‘chargebacks’ or any legal action. In the unlikely event where such a solution cannot be found, any disputes concerning the sale (price, Terms and Conditions, products, etc.) will be subject to the exclusive jurisdiction of the Scottish courts.
